These Terms & Conditions (“Terms”) govern your use of Findery, operated by SHMONEY GALACTIC LLC (“we,” “us,” “our”), a New Jersey limited liability company. By creating an account or using the Service, you agree to these Terms.

1. The Service

Findery is an AI-powered resource search platform. You connect your existing knowledge sources (Help Scout, Circle, ClickUp, YouTube, and others), and we index, search, and provide AI-generated answers across that content for your team.

2. Accounts

Eligibility

You must be at least 18 years old and authorized to act on behalf of the business you register. One business per account.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access.

Team Members

Account administrators may invite team members. Administrators are responsible for managing user access and permissions within their workspace.

3. Customer Content

Ownership

You own your content. We do not claim any ownership rights over Customer Content you or your connected sources provide to the Service.

License to Us

By using the Service, you grant us a limited, non-exclusive license to access, store, index, embed, chunk, and process your Customer Content solely for the purpose of providing the Service to you. This license terminates when you delete your account or request data removal.

No Sale of Content

We will never sell, rent, license, sublicense, or otherwise commercially distribute your Customer Content to any third party under any circumstances. Your content is used exclusively to power search and AI features within your workspace.

AI Processing

Your Customer Content is sent to third-party AI providers (Voyage AI for embeddings, Anthropic for AI answers) as necessary to deliver the Service. These providers process your content according to their own terms of service. We do not send your content to any AI provider for the purpose of training their models.

Responsibility for Content

You are responsible for ensuring you have the right to import content from your connected sources. We are not responsible for content that infringes third-party intellectual property rights.

4. Free Trial

We offer a 14-day free trial with a limited number of resources per source. No credit card is required to start a trial. Trial workspaces that are not converted to a paid subscription will be deactivated after the trial period ends.

5. Subscription & Payment

Pricing

Findery is offered as a subscription service with monthly and yearly billing options. Current pricing is displayed on the billing page within your workspace. We reserve the right to change pricing with 30 days’ notice to existing subscribers.

Payment Processing

All payments are processed securely by Stripe, Inc. By subscribing, you authorize recurring charges to your payment method at the intervals you selected.

Billing Cycle

Monthly subscriptions renew on the same day each month. Yearly subscriptions renew on the anniversary of your start date.

6. Refunds

7-Day Refund Window

If you are unsatisfied with the Service, you may request a full refund within 7 days of your initial subscription purchase. Contact us at support@findery.io to request a refund.

After 7 Days

Refund requests made after the 7-day window are evaluated on a case-by-case basis. We are not obligated to issue refunds after the 7-day period, but we may offer partial refunds or credits at our discretion.

Prorating

Prorated refunds or credits for mid-cycle cancellations or plan changes are handled on a case-by-case basis. Contact us to discuss your specific situation.

Cancellation

You may cancel your subscription at any time through the billing page in your workspace. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to other tenants’ data or our infrastructure
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to scrape, crawl, or overload the Service beyond normal usage
• Upload malicious content, malware, or content that infringes third-party rights
• Resell or redistribute the Service without our written permission
• Interfere with or disrupt the Service or its infrastructure

We reserve the right to suspend or terminate accounts that violate these terms.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We are not liable for downtime caused by:

• Scheduled maintenance (we will provide reasonable notice when possible)
• Third-party service outages (Neon, Cloudflare, Stripe, Voyage AI, Anthropic)
• Force majeure events
• Actions or omissions of your connected data sources

9. Intellectual Property

Our IP

The Service, including its design, code, features, and documentation, is owned by SHMONEY GALACTIC LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

Feedback

If you provide feedback or suggestions about the Service, we may use that feedback without obligation to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHMONEY GALACTIC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless SHMONEY GALACTIC LLC, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

By You

You may cancel your subscription and close your account at any time.

By Us

We may suspend or terminate your account if you violate these Terms, fail to pay, or if we discontinue the Service. We will provide reasonable notice when possible.

Effect of Termination

Upon termination, your right to use the Service ends. We will retain your data for 30 days to allow for reactivation or export, after which it will be deleted.

13. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in New Jersey.

14. Changes to These Terms

We may update these Terms from time to time. We will notify existing subscribers of material changes via email at least 15 days before the changes take effect. Your continued use of the Service after changes constitutes acceptance.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SHMONEY GALACTIC LLC regarding the Service.
